CDK Music Issues Notice of Sale of Music Business
Business Summary.
CDK Music owns the largest catalog of Russian- and Soviet-produced works outside of Russia, the majority of which were acquired from the Russian label Gramzapis before its liquidation. Compared to any classical music and works catalog in the world, this catalog is unequalled for the caliber of its artists and the excellence of its performances--many of which are of significant historical value.
The CDK Music catalog is unique for its selection of Russian-composed music performed by renown Russian artists. Indeed, the Russian artists are the most important quality of CDK Music and that quality which sets CDK Music apart from other classical music catalogs.
Sviatoslav Richter, David Oistrakh, MstislavRostropovich, Mikhail Pletnev, Evgeni Svetlanov, Vladimir Fedosejev, Oleg Kagan, Natalia Gutman are some of the names that will make this catalog the pre-eminent source for Russian classical music by Russian artists.
Owner.
The owner of CDK Music is the Russian composer and pianist, Evgeni Kostitsyn, whose education in music started as a child where he spent his primary and secondary years at a school for the musically gifted. After graduating from the Kharkov Institute of Arts with a Master’s Degree in Music with an Emphasis in Composition, he received private instruction from Professor Edison Denisov at the Moscow Conservatory of Music. Evgeni has the singular distinction of being named “First Laureate of the First Ukrainian International Competition for Composers” for his First Prize winning composition, which thereafter, under the rules of competition, bears the name “Evgeni Kostitsyn International Competition for Composers.” In 1999, the US Government granted Evgeni special visa status for “Persons with Extraordinary Achievements and Abilities”—a rare immigration category reserved for people, like Nobel Prize winners and internationally renowned artists, whose work-product or accomplishments are such that their presence in the U.S. is considered to be “in the national interest.”
Evgeni Kostitsyn is the author of a new method for the organization of musical material, known as Synchronous Music, representing musical compositions which unfold concurrently, parallel to each other. More than 50 of his own compositions are exemplary of this style and they are remarkable for their graceful ingenuity, diversity and power. His own cds, “American Requiem I” and “Symphony#3”, produced in St. Petersburg, Russia and Kiev, Ukraine are included in the CDK Catalog.
Evgeni has dedicated the past 6 years almost exclusively to the time-consuming tasks of developing CDK Music and initiating the licensing and distribution of its titles; he has been intimately involved in every decision, however small or big. The cd booklet notes which he wrote are literary gems, replete with factual details and tinged by the writer’s sense of humor whose (occasionally controversial) opinions only enhance the charm of the booklets.
Foremost a composer, Evgeni Kostitsyn is now selling CDK Music in order to concentrate on his own music with the goals of obtaining composition commissions, opportunities to work with an orchestra, and performance venues for his own works. III. Prospective proceeds from existing CDK licensee-contracts:
1. Moscow Studio Archive: Non-Exclusive North American Perpetual Rights to 50 CDK titles.
2. Regis, UK: World Exclusive Rights (for 4 years) to 15 titles (17 cds). Note: Most of Regis/CDK albums are compilations. Nothing prevents CDK from issuing all CDK original albums under CDK logo and distributing them world-wide.
3. Silk Road, China: Exclusive mainland China-Only Rights to the cd-format only of 23 CDK titles. Current contract will expire on Jan 7, 2007 and may be renewed for another 3-year term.
IV. Prospective proceeds from existing CDK distributor-contracts. More information available upon request.
V. Existing US- and UK-warehouse stock of approximately 13, 580 cds of selected CDK albums.
VI. Exclusive and Perpetual Intellectual Property Rights to CDK logo; cdkmusic.com domain name; CDK Music subscription website and CDK Music free web site.

CDK currently has pending licensing contracts for the following video catalogues which might be of interest to the CDK Music buyer:
I. 25-Year World (excluding Russia) Exclusive Rights to all possible formats of 24 video programs.

The acquisition of the above video catalogs will make the purchaser the owner of the largest Russian-produced classical video catalog in the world.
